Terms & Conditions of Sale 
 
1. General

The following Terms and Conditions of Sale govern the relationship between ESSILOR ACADEMY EUROPE and any other party visiting or ordering products on the Site varilux-university.org, hereinafter referred to as the “Customer”.

By using this Site and ordering products from it, you agree to these Terms and Conditions of Sale. These shall prevail over any other special conditions granted to the Customer, unless prior exemption has been provided by ESSILOR ACADEMY EUROPE in writing.

ESSILOR ACADEMY EUROPE reserves the right to modify the present Terms and Conditions of Sale at any time. The Terms and Conditions of Sale applicable to the transaction shall be those in force at the time at which the order is placed.

2. The Order

All orders shall be considered as firm and final as soon as they are received by ESSILOR ACADEMY EUROPE.
Any subsequent changes for any reason whatsoever shall not be possible without the prior and express agreement of ESSILOR ACADEMY EUROPE.

In accordance with legal requirements, ESSILOR ACADEMY EUROPE shall acknowledge receipt of the order by e-mail (from the address contact@varilux-university.org). The acknowledgement of receipt shall be sent within a maximum of 15 days following receipt of the order.

3. Product availability

The products available shall be those appearing on the Site, subject to the availability of stock. Should any product not be available after an order has been placed, ESSILOR ACADEMY EUROPE shall inform the customer by e-mail.

4. Prices and shipment costs

Product prices shall be expressed in Euros including tax but excluding shipment costs. VAT shall be calculated according to the current rate in force at the time where the order is placed. Any changes to the rate shall immediately be applied to orders in the course of being processed.

For any products delivered outside of the European Union and to the DOM-TOM, the price shall be calculated excluding tax. Customs duties and other local taxes may be added. Amounts added for duties and taxes are not determined by ESSILOR ACADEMY EUROPE. The Customer shall be fully responsible for their settlement.

5. Payment terms

All sales shall be paid in cash by bank card (Visa, Carte Bleue, Mastercard) cheque or bank transfer (contact us for details).

For payment by bank card, ESSILOR ACADEMY EUROPE shall guarantee secure payment using the SSL (Secure Socket Layer) encryption protocol, with transactions being processed by OGONE and HSBC.

6. RETENTION OF TITLE

ALL DELIVERED PRODUCTS SHALL REMAIN THE PROPERTY OF ESSILOR ACADEMY EUROPE UNTIL ALL SUMS DUE OR OWING BY THE CUSTOMER (FOR CASES OF DEFERRED PAYMENT).

7. Delivery

Products shall be delivered to the delivery address stated on the purchase order.

The delivery schedules specified on the Site shall apply as soon as the Customer has received e-mail confirmation of the order from ESSILOR ACADEMY EUROPE. But these delivery schedules are not guaranteed and do not form part of the contract.

The Customer shall check all products upon delivery. In the event of a defect (damaged packaging, missing or broken products) the Customer shall state all reserves on the delivery document provided for signature by the carrier and shall notify ESSILOR ACADEMY EUROPE. The contact details of ESSILOR ACADEMY EUROPE may be found on the Site.

Products may not be returned by sole decision of the Customer but shall require prior written agreement by ESSILOR ACADEMY EUROPE.

8. Cancellation right of the Customer

Under the consumer law, the Customer has a statutory right ot cancel the order within 7 days as of the date at which the order is received.

Customers wishing to exercise their right of cancellation shall contact ESSILOR ACADEMY EUROPE to submit a withdrawal request. ESSILOR ACADEMY EUROPE shall then provide the Customer with the procedure for returning the product.

If the Customer cancels the order in accordance with this article, ESSILOR ACADEMY EUROPE shall refund the charges already paid in connection with the order.

ESSILOR ACADEMY EUROPE shall refund the Customer for the purchase price of the product and the cost of shipment, within a maximum of 45 days following the date upon which the package was received, subject to the product having been returned in its entirety, in perfect condition and in its original packaging.

Shipment costs for the return of the product shall be covered by the Customer.

The Customer shall be free to choose the shipping method preferred for return of the product to ESSILOR ACADEMY EUROPE and whether or not to pay for insurance coverage in the event of loss, theft or destruction of the package. ESSILOR ACADEMY EUROPE shall not be responsible for any of the transport costs and may not be held liable should the product returned by the Customer not be received.

The Customer shall be responsible for the type of packaging chosen for the product, which should be done in such a way as to protect the product from breakage or deterioration during shipping.

The Customer shall be responsible for all costs and risks associated with the return of the product.

9. Liability

All products are solely intended for optical use. ESSILOR ACADEMY EUROPE declines all responsibility for any cases of improper use, where the product has been used for reasons other than originally intended. Users shall also be responsible for the way in which they handle these products.

Photos of the products appearing on the Site shall not be contractually binding. ESSILOR ACADEMY EUROPE may in no way be held liable on the basis of the said photos.

10. Intellectual property

Brochures sold on the Site are governed by the French and international law on intellectual property rights.

Full or partial use or reproduction of their content without the consent of the author, right holders or authorized representatives shall be considered illegal. This equally applies to any translation, adaptation, conversion, arrangement or reproduction by any process whatsoever (Article L 122-4 of the French Code of Intellectual Property).

11. Applicable law and jurisdiction

The current Terms and Conditions of Sale shall be subject to French law. Any disputes which may not be settled out of court, shall be submitted for judgment to the courts falling under the jurisdiction of the Paris Court of Appeal.
